1. Scope of Services
Quantum Soft Technologies provides technology engineering, custom software development, mobile application development (iOS/Android), full-stack web architecture, IT consulting, and social media/digital marketing services. Specific project deliverables, milestone schedules, and financial terms are governed by individual Statements of Work (SOW) or Service Agreements executed between the parties.
2. Intellectual Property Rights
- Company IP: All site content, code snippets, visual designs, interactive canvas elements, graphics, and trademarks on quantumsoft-technologies.com are the exclusive property of Quantum Soft Technologies LLC and are protected by applicable intellectual property laws.
- Client Deliverables: Upon full receipt of agreed contract payments, ownership and licensing of bespoke client deliverables (source code, custom assets, graphics) transfer to the Client as specified in the applicable project SOW.
- Third-Party & Open Source Components: Certain deliverables may incorporate open-source libraries or third-party APIs subject to their respective open-source licenses.
3. User Conduct & Acceptable Use
You agree not to:
- Use the site or services for any unlawful, fraudulent, or unauthorized purpose.
- Attempt to reverse engineer, decompile, probe, or breach the security of our website, servers, or client portals.
- Submit malicious code, spam, or abusive transmissions through any inquiry or contact forms.
4. Client Responsibilities
For active development and agency engagements, the Client agrees to provide necessary feedback, assets, credentials, and approvals in a timely manner. Delays resulting from missing client inputs may adjust agreed delivery timelines.
5. Disclaimer of Warranties
Our website and standard informational content are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. While we strive for continuous availability and rigorous code quality, we do not warrant uninterrupted or error-free site operation.
6. Limitation of Liability
To the maximum extent permitted by law, Quantum Soft Technologies LLC and its officers, employees, or agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of our website or services. Our aggregate liability under any service contract shall not exceed the total fees paid by the Client to Quantum Soft Technologies LLC under the applicable Statement of Work.
7. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law principles. Any legal action or dispute arising under these Terms shall be instituted exclusively in state or federal courts located in Illinois.
